Key Points
Scope – These terms apply to all offers, deliveries and services unless otherwise agreed in a written contract.
Contracts – A contract is valid only once confirmed in writing by Aiger.
Prices & Payment – Prices are as per offer/contract. Payments are staged (advance, interim, final). Late payments may lead to suspension of services and interest charges.
Delivery – Deliveries are FCA/EXW Plovdiv (Incoterms). Risk passes to the customer once goods are handed over to the carrier.
Installation & Commissioning – Performed by Aiger’s trained staff if agreed. Customer must provide access, utilities, materials and assistance.
Warranty – 12 months or 2,100 operating hours, whichever comes first. Covers materials and workmanship only.
Liability – Limited to direct damages from intent or gross negligence. No liability for indirect or consequential losses. Maximum liability: 10% of contract value.
Force Majeure – Neither party is liable for non-performance caused by events beyond reasonable control (e.g. war, strikes, epidemics, export bans, natural disasters).
Retention of Title – Goods remain Aiger’s property until paid in full.
Testing & Acceptance – Equipment is tested (FAT/SAT). Acceptance occurs upon signed protocol or use for more than 4 weeks without written objections.
Liquidated Damages – In case of delay caused by Aiger, compensation is limited to 0.2% per full week of delay, capped at 5%.
Governing Law & Arbitration – Disputes are settled by ICC arbitration in Zurich, Switzerland, under Swiss law.
Changes in Technical Specifications – Any post-confirmation changes require Aiger’s review and written approval.
Payment Delays and Contract Termination – If payment is over two months late, and NO further agreement, Aiger may resell the equipment; the contract ends and payments are non-refundable.
